Welcome to ConviTutor
These Terms and Conditions ("Terms") govern your access to and use of ConviTutor's website, mobile applications, and services (collectively, the "Service" or "Platform"). By creating an account or using our Service, you agree to be bound by these Terms.
Please read these Terms carefully before using ConviTutor. If you do not agree to these Terms, you may not access or use the Service.
1. Definitions
For the purposes of these Terms:
- "ConviTutor," "we," "us," or "our" refers to ConviTutor and its operators.
- "User," "you," or "your" refers to any individual or entity accessing or using the Service.
- "Teacher" refers to users who provide educational instruction through the Platform.
- "Student" refers to users who receive educational instruction through the Platform.
- "Parent" or "Guardian" refers to users who are responsible for a Student's account and education.
- "Organization" refers to educational institutions, tutoring centers, music schools, or similar entities using the Platform.
- "Content" refers to text, images, videos, audio, files, and any other materials uploaded, shared, or transmitted through the Service.
- "Subscription" refers to a paid plan that grants access to the Platform's features.
- "Lesson" refers to an educational session conducted between a Teacher and Student.
2. Account Registration
2.1 Eligibility
To create an account and use ConviTutor, you must:
- Be at least 18 years of age, OR
- Be at least 13 years of age with verified parental or guardian consent, OR
- Have an account created and managed by a parent, guardian, or authorized adult
Teachers and Organization administrators must be at least 18 years of age.
2.2 Account Creation
When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Not share your account credentials with others
- Notify us immediately of any unauthorized access to your account
2.3 Account Responsibility
You are solely responsible for all activities that occur under your account. ConviTutor is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
2.4 One Account Per Person
Each individual may only maintain one personal account. Organizations may have multiple authorized administrators, but each administrator must use their own unique login credentials.
3. User Types and Roles
3.1 Students
Students use the Platform to:
- Receive lessons and educational content from Teachers
- Submit assignments and track progress
- Communicate with Teachers
- Log study time and activities
Students and Parents do not pay subscription fees to use ConviTutor. Students may be required to pay lesson fees directly to Teachers or Organizations as agreed upon separately.
3.2 Parents and Guardians
Parents and Guardians may:
- Create and manage accounts for minor Students
- View their linked Student's lessons, tasks, grades, and progress
- Communicate with Teachers
- Manage payments for lessons
Parents and Guardians are responsible for monitoring their minor children's use of the Platform and ensuring compliance with these Terms.
3.3 Teachers
Teachers use the Platform to:
- Manage students and courses
- Schedule and document lessons
- Assign and grade tasks
- Communicate with Students and Parents
- Accept payments for lessons
Independent Teachers are required to maintain an active subscription after the trial period to continue using the Platform.
3.4 Organizations
Organizations include tutoring centers, music schools, dance academies, and similar educational institutions. Organizations may:
- Manage multiple Teachers under one account
- Enroll and manage Students
- Set pricing and payment policies
- Access administrative features and reports
Organizations are required to maintain an active subscription after the trial period.
4. Acceptable Use
You agree to use ConviTutor only for lawful purposes and in accordance with these Terms. You may use the Service to:
- Provide or receive legitimate educational instruction
- Communicate about educational matters
- Schedule and manage lessons
- Process payments for educational services
- Store and share educational content and materials
5. Prohibited Conduct
You agree NOT to:
5.1 Illegal Activities
- Use the Service for any unlawful purpose
- Violate any applicable laws, regulations, or third-party rights
- Facilitate or encourage illegal activity
5.2 Harmful Content
- Upload, share, or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Share content that exploits minors in any way
- Distribute malware, viruses, or other harmful code
- Share sexually explicit or pornographic material
5.3 Platform Abuse
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers
- Use automated systems (bots, scrapers, etc.) to access the Service without permission
- Circumvent any security features or access controls
- Reverse engineer, decompile, or disassemble any part of the Service
5.4 Misrepresentation
- Impersonate any person or entity
- Misrepresent your qualifications, credentials, or affiliations
- Provide false information during account registration or verification
- Create fake reviews or manipulate ratings
5.5 Commercial Misuse
- Use the Service to compete with ConviTutor
- Collect user information for unauthorized purposes
- Send unsolicited commercial messages (spam)
- Recruit Teachers or Students away from the Platform to avoid fees
5.6 Intellectual Property Violations
- Infringe upon the intellectual property rights of others
- Share copyrighted material without authorization
- Remove or alter any proprietary notices or labels
6. Subscription and Payments
6.1 Who Pays
- Students and Parents: FREE - No subscription fees
- Independent Teachers: Subscription required after trial period
- Organizations: Subscription required after trial period
6.2 Subscription Plans
Subscription plans are available at different tiers based on features and usage needs. Current plan details and pricing are available on our website.
6.3 Billing
- Subscriptions are billed monthly or annually, depending on the plan selected
- Payment is processed through Stripe or other authorized payment processors
- You authorize us to charge your payment method on a recurring basis
- All fees are quoted in US Dollars unless otherwise specified
6.4 Payment Method
You must provide a valid payment method to subscribe. You are responsible for:
- Keeping your payment information current
- Ensuring sufficient funds are available
- Paying any applicable taxes
6.5 Failed Payments
If a payment fails:
- We will attempt to charge your payment method again
- You will receive notification of the failed payment
- After a grace period, your account may be downgraded or suspended
- You remain responsible for all unpaid fees
6.6 Refunds
- Subscription fees are generally non-refundable
- We may offer refunds at our sole discretion
- Refund requests must be submitted within 30 days of the charge
- Refunds for annual plans will be prorated based on unused time
6.7 Price Changes
We reserve the right to change subscription prices. You will be notified at least 30 days before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.
6.8 Taxes
You are responsible for paying all applicable taxes. Subscription fees do not include taxes unless explicitly stated.
7. Free Trial
7.1 Trial Period
New Teachers and Organizations are eligible for a free trial period of thirty (30) days from the date of account creation.
7.2 Trial Terms
- No payment method is required to start the trial
- Full access to all features is provided during the trial
- At the end of the trial, you must subscribe to continue using the Service
- Only one trial is permitted per individual or Organization
7.3 Trial Expiration
When your trial expires:
- You will be prompted to subscribe
- Your account will become read-only if you do not subscribe
- Your data will be retained for 30 days, after which it may be archived or deleted
- You may subscribe at any time to restore full access
8. Lesson Payments and Marketplace
8.1 Payment Facilitation
ConviTutor facilitates payments between Students/Parents and Teachers/Organizations through Stripe Connect. When a Teacher connects their Stripe account, student card payments are routed directly to the Teacher's bank account via Stripe's destination charge model.
8.2 Teacher and Organization Responsibility
Teachers and Organizations are solely responsible for:
- Setting their own prices for lessons
- Complying with tax laws and reporting requirements
- Honoring their agreements with Students and Parents
- Completing Stripe Connect onboarding to receive payouts
8.3 Payment Processing
- Payments are processed through Stripe Connect with direct payouts to Teachers
- Stripe's terms of service apply to all transactions
- ConviTutor is not responsible for payment processing errors by third-party providers
8.4 Payment Protection Fee
A $1.00 Payment Protection fee is applied to each card payment made to a Teacher with a connected Stripe payout account. This fee covers dispute resolution, fraud prevention, and secure payment processing. The fee is collected by ConviTutor as an application fee on each transaction and is clearly disclosed during checkout.
8.5 Refunds
Refund policies for lesson payments:
- Teachers may issue full or partial refunds on completed card payments
- Refunds reverse the transfer to the Teacher and refund the Payment Protection fee
- Cash payments cannot be refunded through the platform
8.6 Payment Disputes
Students may open a dispute on a completed card payment. The Teacher has 7 days to respond by accepting (which triggers an automatic refund) or rejecting the dispute. If the Teacher does not respond within 7 days, the dispute is automatically escalated to ConviTutor support for resolution. ConviTutor reserves the right to issue refunds on escalated disputes at its sole discretion.
8.7 Payment Protection Policy
Payment Protection covers the cost of dispute resolution, fraud monitoring, and secure payment infrastructure. The $1.00 fee is non-negotiable and applies uniformly to all card payments to connected Teachers. ConviTutor may adjust the fee amount with 30 days' notice.
9. Content and Intellectual Property
9.1 ConviTutor's Intellectual Property
The Service, including its design, features, functionality, and content created by ConviTutor, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
9.2 Trademarks
"ConviTutor" and associated logos are trademarks of ConviTutor. You may not use these marks without our prior written consent.
9.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant ConviTutor a non-exclusive, royalty-free, perpetual, irrevocable license to use and incorporate such feedback without any obligation to you.
10. User-Generated Content
10.1 Your Content
You retain ownership of content you create and upload to the Platform ("Your Content"). By uploading content, you grant ConviTutor a non-exclusive, worldwide, royalty-free license to:
- Store and backup Your Content
- Display Your Content to authorized users
- Process Your Content as necessary to provide the Service
10.2 Content Responsibility
You are solely responsible for Your Content. You represent and warrant that:
- You own or have the right to share Your Content
- Your Content does not violate any third-party rights
- Your Content complies with these Terms and applicable laws
10.3 Content Removal
ConviTutor may remove content that violates these Terms or is otherwise objectionable, at our sole discretion and without notice.
10.4 Content Backup
While we take reasonable measures to protect your data, you are responsible for maintaining backups of Your Content. ConviTutor is not liable for any loss of content.
11. Privacy and Data Protection
11.1 Privacy Policy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
11.2 Children's Privacy
ConviTutor complies with applicable child privacy laws, including COPPA (Children's Online Privacy Protection Act) in the United States. We do not knowingly collect personal information from children under 13 without parental consent.
11.3 Data Security
We implement reasonable security measures to protect your data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
11.4 Data Retention
We retain your data for as long as your account is active or as needed to provide services. Upon account termination, we may retain certain data as required by law or for legitimate business purposes.
12. Communications
12.1 Electronic Communications
By creating an account, you consent to receive electronic communications from ConviTutor, including:
- Account notifications
- Service updates and announcements
- Billing and payment information
- Marketing communications (with opt-out option)
12.2 Transactional Messages
Transactional messages related to your account and use of the Service cannot be opted out of while your account is active.
12.3 Push Notifications
If you enable push notifications, you may receive alerts on your mobile device. You can manage notification preferences in your account settings.
13. Third-Party Services
13.1 Integrations
The Service may integrate with third-party services, including:
- Payment processors (Stripe)
- Video conferencing tools
- Calendar applications
- Cloud storage providers
13.2 Third-Party Terms
Your use of third-party services is subject to their respective terms and privacy policies. ConviTutor is not responsible for third-party services.
13.3 Links
The Service may contain links to third-party websites. We do not endorse or assume responsibility for any third-party sites or content.
14. Disclaimers
14.1 "As Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR RELIABILITY OF CONTENT.
14.2 No Guarantee of Results
ConviTutor does not guarantee any specific educational outcomes. The quality of instruction depends on individual Teachers and Students.
14.3 Teacher Qualifications
ConviTutor does not verify Teacher qualifications, credentials, or background. Users are responsible for evaluating Teachers before engaging their services.
14.4 Service Availability
We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may suspend or discontinue the Service at any time without notice.
15. Limitation of Liability
15.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVITUTOR'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED: THE AMOUNT YOU PAID TO CONVITUTOR IN THE 12 MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
15.2 Exclusion of Damages
CONVITUTOR SHALL NOT BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, USE, OR GOODWILL
- COST OF SUBSTITUTE SERVICES
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
- DAMAGES ARISING FROM DISPUTES BETWEEN USERS
15.3 Basis of the Bargain
THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE AGREEMENT BETWEEN YOU AND CONVITUTOR.
16. Indemnification
You agree to indemnify, defend, and hold harmless ConviTutor, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your Content
- Your interactions with other users
- Any educational services you provide or receive through the Platform
17. Termination
17.1 Termination by You
You may terminate your account at any time by:
- Canceling your subscription (if applicable)
- Requesting account deletion through your account settings
- Contacting our support team
17.2 Termination by ConviTutor
We may suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- Your payment method fails repeatedly
- We discontinue the Service
- Required by law
17.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- Outstanding payment obligations remain due
- We may delete your data after a retention period
- Provisions that should survive termination will remain in effect
17.4 Data Export
Before terminating your account, you may request an export of your data. We will provide your data in a commonly used format within a reasonable timeframe.
18. Dispute Resolution
18.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us to attempt to resolve any dispute informally. We will try to resolve the dispute within 30 days.
18.2 Arbitration Agreement
If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved by binding arbitration, except where prohibited by law or where you opt out as provided below.
18.3 Arbitration Rules
Arbitration shall be conducted by a mutually agreed-upon arbitration service under their then-current rules. The arbitration shall take place in the applicable jurisdiction, unless otherwise agreed.
18.4 Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT THROUGH CLASS ACTIONS, CONSOLIDATED ACTIONS, OR REPRESENTATIVE ACTIONS.
18.5 Opt-Out
You may opt out of the arbitration agreement by sending written notice within 30 days of first agreeing to these Terms. Send notice via our contact form at convitutor.com/contact.
18.6 Small Claims Court
Either party may bring qualifying claims in small claims court.
19. Changes to Terms
19.1 Modifications
ConviTutor reserves the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting updated Terms on our website
- Sending an email to your registered email address
- Displaying a notice within the Service
19.2 Effective Date
Changes become effective on the date specified in the updated Terms, which will be at least 30 days after notice for material changes.
19.3 Acceptance of Changes
Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
20. General Provisions
20.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ConviTutor regarding the Service.
20.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
20.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
20.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. ConviTutor may assign these Terms without restriction.
20.5 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles.
20.6 Force Majeure
ConviTutor shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or infrastructure failures.
20.7 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
20.8 Language
These Terms are written in English. If translated into other languages, the English version shall prevail in case of conflict.

Acknowledgment
BY CREATING AN ACCOUNT OR USING CONVITUTOR, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
If you do not agree to these Terms, please do not use the Service.
